This is a PrC that i want to use in my current campaign. It takes the concept of a killer of undead and takes the divine or Ranger aspects out of it. This PrC is for straight up and down fighter, rogue, assasins who want to be contract killers of undead.

Please let me know your opinions, thank you.

Hit Die : d6

Prerequisites:
Skills : Hide 12 ranks, Move Silently 12 ranks, Knowledge (religion/undead) 8 ranks, Sense Motive 8 ranks
Feats : Iron Will or Great Fortitude or Stealthy (Can't decide which single or combo of these is most appropriate, help)
Special Abilities: Assassin's Death Attack
Special : Must have been contracted to assassinate an intelligent undead.

Skills: Balance, Bluff, Climb, Craft, Decipher Script, Diplomacy, Diasable Device, Disguise, Escape Artist, Forgery, Gather Information, Hide, Intimidate, Jump, Knowledge(Religion/undead), Listen, Move Silently, Open Lock, Search, Sense Motive, Spot, Swim, Tumble

Level BA Fort Ref Will Special
1 0 0 2 2 Detect Undead, Dead's weakness
2 1 0 3 3 Negative Energy Protection 1/day
3 2 1 3 3 Sneak Attack +1d6
4 3 1 4 4 Negative Energy Protection 2/day, Dead's Poison
5 3 1 4 4 Dead's Death, Sneak Attack +2d6

Weapon and Armor : Gain no new profinciency
Detect Undead : At Will, Spell Like Ability as the spell. Caster Level same as Contractor Level
Dead weakness : This is a supernatural ability that allows the Contractor to Sneak Attack undead a number of times per day equal to 3 + the Contractor's Int. modifier.
Negative Energy Protection : Spell Like ability, 1/day at 2nd level, 2/day at 4th. As the spell. Caster level same as Contractor level.
Sneak Attack : +1d6 at 3rd and 5th Level.
Dead's Poison : Supernatural ability that allow poisons to work on undead. Undead are unaffected by poisons that do Con damage.
Death's Death : Contractot may now use their death attack against their target. Usable as may times per day as Sneak Attack.

So here it is. The concept is that the Contractor knows undead anatomy so well that he can exploit their weaknesses thus be able to sneak attack, poison and kill.

I am not sure where to begin. Let me start with requirements.
I don't think you should require assassin abilities to get this class. You could include Death Attack as an ability you get at first level or so and keep the skill requirements the way they are. PrCs that force you to multi-class to get them are pretty harsh and I am slightly biased against them. :)
Iron Will should work with what I think you are going for but there are other things like...

This looks a lot like an evil skull clan hunter without turn undead...
Is there a reason you are able to poison/sneak attack/death attack undead? I mean the Skull Clan Hunter uses divine power to deal sneak attack damage... what is giving the contractor this ability? And how are they suddenly divined with a spell-like ability when they don't need Knowledge arcana or spell casting abilities. You might want to consider putting that into the requirements.

This seems a little broken to me... you might want to rethink the motivation behind this PrC and give it a little more umph in the way of flavor. How are they getting these abilities? Why can they do what they do?

Also think about how powerful these abilities are, and would would really be required to get them.

I looked at the Assassins PrC and saw that they did not have knowledge arcana as a skill or requirement, and they cast arcane spells. I'm not sure how one would explain that ability, but it does set a precedance of spontaneous arcane knowledge for an assassin. I was kind of going for the same thing with the contractor. Because of their training, they are so knowledgable about undead that they hit the right spots, thus doing sneak attack damage or a death attack. I could make that usage up to 3/day in order to pull back. BUt I would also like others opinion before I make any changes or decisions.

Okay, I understand that. It's just that the whole thing with undead is that there are no "right spots"... Oh, well I would like to see what other people think as well.
