All the standard requirements of threatening apply to the prone opponent.

As Myers stated though, he would likely attack with a -4 penalty.

12-02-07, 08:24 AM For example, it's legal for a (medium-sized) spiked chain prone fighter to take an AoO when another person approaches, and if that AoO is a trip attack (i.e. a touch attack), then the -4 is likely to be rather meaningless. Then you have the lovely situation of two prone opponents fighting side-by-side - at least, if the trip attempt succeeds.
