I just have a quick question, if someone is fighting one guy then turns(stays in the same 5 foot space) to attack a different target(assuming they have more than one attack during a round), do they occur a penalty for switching targets...if they do, do they also occur a penalty when they down a foe(without having Cleave) and go onto the next nearest target(again without moving)??

I hope I made this as clear as possible.

One of the mantras around our gaming table: "There is no facing in 3.5!"

You can spin pirouettes in your square without incurring penalties for switching targets.

All the actions that provoke AoOs are pretty much covered in the PHB. Switching "targets" is free and unlimited, and doesn't provoke.
