Ok, I've read everything I can find on grappling, but nowhere does it say what it takes to hit an enemy target grappling with an ally.

d20 modern rules say that a pinned character has no dex bonus and -4AC, but is not helpless (and can not be coup de graced). But, it does not specify a character still in a grapple and not pinned.

1. How hard is it to his them? AC penalties/bonuses?

2. Does it count as conceal/cover?

3. Do you have a chance to hit your ally?

4. There must be size modifiers as well, how would you handle this? (edit)

If you're in a grapple you lose your dexterity bonus to AC against everyone exccept the person you're grappling. As for the chance to hit your intended target during the grapple I believe you have a 50/50 chance of hitting either person as long as one of them has moved into the others square... I'm not 100% on this and I don't really know how you'd do this with more than 2 grapplers.

So what happens if then if one of the grapplers is larger then the other(s)?

50/50 seems pretty drastic.

Was just talking with my DM about making it 50/50 if the grappler has won the grapple and is using the ally to shield the attack. Like a giant or a barbarian grapples your mage and puts them between you.

But, in the case of a Dire Bear (which happens alot) it's not really trying or would even try to use it's victim as a shield. Which to me would leave them with the dex penalty, but no 50/50 chance of hitting your ally. Especially when the target is 4x the size of your ally.

Any other school of thoughts on this?

You COULD rule that they give cover, since they're in the same square, thus conceivably between you and the target. In that case there's a small chance of hitting them. That would seem to be the most realistic way to do it, judging the amount of cover given by their size.

The answer to most of your questions can be found here (http://www.d20srd.org/srd/combat/combatModifiers.htm#favorableandUnfavora bleConditions) in the table for Armor Class Modifiers.

Rmember that Improved Precise Shot allows you to choose which of the grappled characters you hit. And don't confuse the random target with missiles to be a random target with MElee attacks.

Well according to my handy dandy Eberron DM screen attacking a character in a grapple with a melee attack, the defender is not allowed his dex to his AC. If you are attacking at range into a grapple the defender is denied his dex and you determine randomly who in the grapple you hit.

PHB pg 151. Hope it helps
