Are there any products/tools that can convert 2nd edition stats/mechanics to 3.5e? Or at least from 2nd to 3rd edition?

If not, what would be the best and easiest way to do that?

The easiest way would be to start from scratch. Your character is going to go through changes somewhere when you discover new options.

If a module calls for 3 orcs, use 3 orcs from the current edition.

Are you looking for something specific? A lot of conversions have been done already, and are posted on the boards here.

Its often easier just to replace a character or monster with the same from the edition you are converting to, rather than trying to do a straight points conversion

Yes, actually I do. I'm looking to convert the "In The Abyss" adventure in the Planescape Campaign Setting from 2e to 3.5e and I'm not quite sure about NPC's, spell effects and, most importantly, level conversion (a 10th level fighter in 2e is the same with a 10th level fighter in 3.5e?). I was thinking to just replace the monsters there with monsters from MM and Fiend Folio but not all are shown. For example the molydeus.

Anyway, I appreciate the answers.

Ah. The answer to that question is "yes". Skip Williams wrote a PDF booklet called "Conversion Manual". Unfortunately, I haven't been able to find it on the downloads page, but I distinctly remember downloading it there.

Anyway, just use the level given for any class (except perhaps thieves/rogues, which you might want to drop a level or two,) and then you can use the NPC tables in the DMG or a random NPC generator (I like Jamis Buck's (http://www.aarg.net/~minam/npc.cgi)) to create your 10th level fighter.

For example the molydeus.

I don't know anything about Planescape, so I can't say how good the conversions are.

Here's where you can find the Conversion Manual (http://www.wizards.com/dnd/DnD_CYC_intro.asp).

While it does make it easy to understand what became what with the arrival of 3rd edition, it's not that great when taking a 2e NPC and attempting to update it. Most of the time, you'll have to build it from scratch anyway. Still, the guidelines are useful enough, especially for things like extraordinary strength which don't make sense in 3e anymore.
