Here's an alternative that is more suitable for a PC (and borrows a bit from 2nd ed.) What do you think, and what's the right LA?

Bodak Template

Bodaks are the undead remnants of creatures who have been destroyed by the touch of absolute evil.
A bodak retains fleeting memories of its past life and can usually speak Common (or some other language). It is tormented by these memories, especially in critical situations.

Most bodaks don't often think about the future, and dwell in a relatively confined area because they have little motivation to go anywhere or do anything but attack those that encounter them. However, a rare few are motivated to complete some task, usually revenge on those they hold responsible for sending them to their death (that is, those who sent them to encounter evil, rather than the evil forces most directly responsible for their death). Of course, some defy all stereotypes.

This template can be applied to any corporeal living creature of int 5+ that possesses eye(s).

Type: Change to undead

Hit dice: As base creature, but change all current and future HD to d12

Abilities: Str +2, Dex +4, Con --, Int -4, Wis +2, Cha +2

Natural Armor +4

Move: As base creature -5' (minimum 5' or as base creature)

A medium-size bodak inflicts a base slam damage of 1d8 with its fist. Modify this as usual for differently sized base creatures.

Death Gaze (Su): Death, range 30 feet, Fortitude (DC 10 + 1/2 HD + Cha bonus) negates; usable 2/day + 1/day per 5 HD.

Vulnerability to Sunlight (Ex): Bodaks loathe sunlight, for its merest touch burns their impure flesh. Each round of exposure to the direct rays of the sun deals 1 point of damage to the creature.

Daydream (ex): In stressful situations such as combat, the bodak must make a Will save (DC 5) each round. Failure indicates the bodak is lost in thought about its past life and unable to take any actions for 1d6 rounds. The DC increases to 10 if the bodak is actually faced with an opponent he knew in his past life, or one who is disguised as someone he knew even if he is not fooled by the disguise.

Create Spawn (Su): Creatures killed by the death gaze are transformed into zombies 24 hours later. The zombies are not under the control of the bodak.

Damage reduction 10/cold iron, darkvision 60 ft., immunity to electricity, resistance to acid 10 and fire 10, turn resistance 3

CR: As base creature +3

looks good but that death gaze is extremly powerful i mean you can kill everything before the battle starts

Right, but there are a lot of drawbacks too. Don't forget the rest of the party (unless immune) has to be told in advance to close their eyes if you plan to use it when they're in range. If you don't kill the opposition quickly, you are likely to be in trouble, which is why I went with Improved Initiative for the sample.

well if they are undead already it won't affect them and you can always take narrowed gaze the feat so you only affect your enemys

Looks good. By my calculations it was a LA +4.5 so it's very good for LA +4 and a little weak for LA +5. Not bad. Limiting the death gaze is a good idea, since that's the most powerful ability of this race--then again, many things are immune to gaze attacks (Elementals, Constructs, Undead, Anything without Eyes, etc.) and any "good" NPCs that you may have to fight have a good chance of being able to cast Death Ward.

They sure do! There's a bodak PALADIN from Krynn who posts on the boards occasionally. Asked about the Ordial plane awhile back. Name of Sir Cleve.
