A dire crocodile looks like a giant version of a normal crocodile and has a row of spines on its back. A dire crocodile is about 50 feet long and weighs about 12,000 pounds. Its jaw alone can be up to six feet long.

Combat:

A dire crocodile tries to eat almost anything smaller than it. It tries to swallow whole smaller creatures, if a creature is too big to swallow whole it grabs it and pulls it underwater to drown it.

Improved grab: You know how this works
Swallow whole: large size or smaller, swallowed creature takes 2d8+15 bludgeoning damage plus 1d8 acid damage per round. A swallowed creature can cut its way out with claws or a light slashing weapon by dealing 35 points of damage to the dire crocodiles stomach (ac 20). Once it escapes muscular action closes the hole so another creature must cut its own way out. A dire crocodile's stomach can hold 1 large, 2 medium, 4 small, or 8 tiny or smaller creatures.
Hold breath: a dire crocodile can hold its breath for 20 times its constitution score.
Skills: dire crocodlie gains +10 bonus on swim checks and can take 10 even when rushed, and use the run action when swimming if it swims in a straight line. A dire crocodile gains +8 bonus to hide checks in swamps.

Two things: doesn't amphibious (sp?) usually mean it can breathe both air and water? I think that's what you meant, but you might want to say it. If you in fact only meant that it can live in an aquatic setting (by holding its breath) or on land as it pleases, that is probably something that should go in the environment row, not special qualities.

Also, a dire animal has all good saves, making this one's saves 23, 14, and 14 respectively.

the strength score is awfully high, and I doubt such a large creature would be able to move that fast over land, considering the stubbiness of crocodile legs.

Crocodiles can move very fast actually, like 20mph. Also the dire bear which is huge has str 31 and this is gargantuan. I changed the amphibious to hold breath

In the future, Hammerhead, please wait at least 24 hours before bumping your own thread. There are a lot of people, in a lot of different time zones, many of whom only check the board once a day, if that. Spamming your own thread is still spamming.

Hit Dice: 20d8+220 (300hp)
20*4.5 = 90
11*20 = 220
90+220 = 310 hit points.

Speed: 60ft, swim 60ft
The ground speed is too fast. Both the Crocodile (http://www.d20srd.org/srd/monsters/crocodile.htm) and the Giant Crocodile (http://www.d20srd.org/srd/monsters/crocodileGiant.htm) have land speeds of 20 ft and swim speeds of 30 ft. It's also implausible that the Dire Crocodile is faster on land than a Dire Tiger or Dire Wolf. Drop the speed to 20 ft. (the same as the other crocodiles) or 30 ft. at the most.

AC: 26 (-4 size, +20 natural)
Minor point: it's good formating to list the touch and flat-footed ACs of a creature.

Base attack/grapple: +16/+39
Animals (http://www.d20srd.org/srd/typesSubtypes.htm#animalType) have a BAB equal to 3/4 of their HD. 3/4 of 20 = +15, not +16.
Grapple is BAB (+15) plus Strength (+15) plus special size modifier (+12 for Gargantuan) = +42.

Attack: Bite +31
Full attack: Bite +31 (4d6+15 19-20) and tail +26 (2d8+7)

Atack bonus is BAB (+15) plus Strength (+15) plus Size modifier (-4) = +26.

abilities: Str 40, Dex 10, Con 32, Int 1, Wis 15, Cha 8
A 40 Strength is very high; looking at other Gargantuan creatures, I was only able to find two: the Nightwalker, and Red Dragons. The Roc, a Gargantuan bird, doesn't have a 40 strength.

Feats: Power attack, Improved Critical (bite), Improved initative, Cleave, Lightning Reflexes

At 20 HD, this creature should have 7 feats. Instead, it only has five.

I can't speak to the CR much, except to point out that you've got more Hit Dice than the Dire Animal, more hit dice than whales, and even more hit dice than a Roc. So I suspect that either this thing has a few too many Hit Dice, or it's CR is on the low-side of where it should be.

Fixxed it, but I have a couple questions.

1. how are feats figured out? I thought it was 1 per 4 HD and 1 per 3 class levels. Did they change it in 3.5?

2.For BaB do you count the creatures size modifier (im guessing no)

Also why it has 20HD is because the dire Shark which is huge size has 18HD and this is bigger. Also most big animals and vermin have a lot of HD for their CR. Of course a dire shark is CR so maybe this should be a 10 or 11.

Yup. All monsters gain feats the same as PCs: 1 per 3 HD.
Monsters also get x4 skill points for the 1st HD, the same as PCs.

You do not. The "Attack/Grapple" entry is meant to list just the BAB, for the DM's use with things like Power Attack and Combat Expertise. Plus it makes it easier for editors to proof the attack lines.
