So it would look kind like this (pulling this out of thin air).

Night Thrall
You make things go dead. (Yup.)
Hit Die: d6

Requirements
Alignment: Any evil.
Skills: Concentration 8 ranks, Disgues 8 ranks, Hide 4 Ranks, Move Silently 4 ranks, Spellcraft 8 ranks.
Special: Eldritch blast 3d6. The character must kill someone for no other reason than to join the night thrall.

Class Skills Same as assassin plus Concentration and Spellcraft.
Skill Points at Each Level: 4 + Int modifier.

Base Fort Ref Will
Level Attack Bonus Save Save Save Special
1st +0 +0 +2 +2 Eldritch Blast +1d6, death attack, poison use
2nd +1 +0 +3 +3 +1 save agains poison, uncanny dodge
3rd +2 +1 +3 +3
4th +3 +1 +4 +4 Eldritch Blast +2d6, +2 save agains poison
5th +3 +1 +4 +4 Improved uncanny dodge
6th +4 +2 +5 +5 +3 save agains poison
7th +5 +2 +5 +5 Eldritch Blast +3d6
8th +6 +2 +6 +6 +4 save agains poison, dark disjunction
9th +6 +3 +6 +6
10th +7 +3 +7 +7 Eldritch Blast +4d6, +5 save agains poison

Weapon and Armor Proficiencies: Gain prof in crossbows (hand, light, and heavy), daggers (any type), dart, rapier, sap, shortbow (normal and composite), and short sword. Gain proficiency in light armor but not with shields.

Eldritch Blast (Sp): Read the complete arcane because it's to much to right here.

Death Attack: Study opponent 3 rounds. Use eldritch blast when it is denied its caught flat-footed. Fort DC (10 + night thrall level + I guess Cha modifer because thats what warlocks use) or die, in an attack within next 3 rounds. Failed, must focus for 3 rounds again.

Poison Use: Able to apply poison to a weapon without risking poisoning yourself.

Invocations: +1 level of warlock invocations each level.

Save against poison: Save versus poison increases because you keep using it. It tastes good on chicken.

Uncanny Dodge: Don't loose Dex to AC, unless comletely immobilized. Gain Improved Uncanny Dodge if you already have this.

Improved Uncanny Dodge: You can't be flanked and you deny a rogue the ability to sneak attack unless it his at least 4 level shigher then you have IRCN.

Dark Disjuntion (Su): Hide in plain sigh with a new name basically.

Instead of blasting wth spells now, you use eldritch blast, you would still need a caster level boost to defeat SR.

I would actually play a class like this, I'd go 6 Lock/10 NgT/4 Ftr, that way I could take Weapon spec with eldritch blast.

The only problem is that the proposed PrC can't actually be qualified for using the Warlock class.

Also, I don't think full spellcasting progression is warranted. Maybe full invoaction progression only, since invocations are generally worse than spells, but definitely not full spellcasting.

How about just taking the assassin as-is and swapping out spellcasting for Eldritch Blast +1d6 every 3 levels?

Done.

And Done.

Finally figured out a half decent (I said half) name. I noticed the eldritch blast of the warlock has something of a speratic progression, so I topped this one of at +4d6. That would for the most part even out the blast because at level 20 a warlock has a 9d6 blast, and if you went 10 lock/10 NgT you would also have a 9d6 blast.
