I think it's better for straight fighters wanting more stealth and shadow abilities, and better for rogue/fighters looking for a slight bump in their stealth abilities and their effectiveness at dealing SA/SS damage. I'm actually playing a "Dark" Human (Dark creature template, also from ToM) Ninja7, and I'm strongly considering taking this PrC, but more from a story-arc POV. Just one small piece of advice: if you are going to be PrC'ing into this class from a base class that has a Med BAB, try multi-classing at level 9, as you will avoid the hit to your BAB.
