Do we yet know if PHBII will be the same book as PHBI, only with the races and classes swapped? So the same basic rules, different characters?

The PHB2 will probably be smaller, since all it will need is the races, class (and power), and new magic items (assuming they don't intentionally keep all those in the Adventurer's Vaults). There's no need to reprint the other rules.

I would think that, if my prediction for bards is true*, we will find some magical items in the PHB2 related to classes, similar to wands, rods, orbs, staves, pact blades, etc.

*My prediction is that bards will get musical instruments as implements.

According to Amazon, PHB2 will weigh in at 224 pages.

There'll be about 10 pages for the five races, and at an estimate of 15 pages per class, 120 for the classes. New feats, magic items and rituals are a given. This should push it up to 180-200 pages, leaving not much for anything else.

However, I'm expecting the PHB2 to bring some new rules to the table, much like the 3.5 PHB2 did with affiliations and retraining. For my money, a chapter on companions and henchmen is very likely.

I wouldn't be so sure. Ranger companions are being covered in the Martial Powers book. I'd expect similar in the Arcane Powers book for Wizards and Sorcerers.

I have no idea about henchmen rules, (I imagine we could see them eventually, but I won't guess sooner or later), but your estimates are probably accurate. I definitely expect there will be some form of additional rules.

I don't really expect to see too many new magic items, except in the case of if any new implements are introduced. ("Performance" instruments for bards? Natural foci such as holly and mistletoe for Primal casters? Who knows what they could be; I doubt that we've seen every type of implement, yet.)

perhaps Arcane Power or the PHB2 will bring back familiars

Could be, could be. Seem like an appropriate place for them, certainly.
