I am planning on doing a web site based on the Dark Sun setting. I attempted to contact WoTC and ask what I could and could not do and their reply was that they cant answer that, and that I would have to confer with my lawyer. Well the funny thing is I dont want to get a lawyer to make a web site lol. I just plan on putting up my campaign with a few DS pictures as well as the dark sun logo. I would like to post parts of the old second edition books but I know that is leaning towards trouble. I guess I can just do what I please and put up password protection and just give that to my players and friends, but I would rather leave it open for others to enjoy ( I have some really great ideas for it).

My opinion (I'm not a lawyer, so don't call this legal advice):  Set it up, put up password protection, but go ahead and give out passwords to whomever wants to be part of the site; don't charge for it, or else WotC might come at you with their rabid, blood-sucking lawyers with charges of copyright infringement, etc.
