Okay, in all seriousness, I don't have a great deal of experience playing 3.5, but priority one is watching out for that gaze attack. Now, I don't know if your DM is the 'killer' type or not (and while I've not dealt with medusas, I had a very kill-the-characters focused DM who had basilisks attack us, so a killer DM is going to make your life hell when dealing with gaze attacks), but I'd suggest area attacks so you don't have to look directly at her.
In addition, make sure you have some means of reversing petrification, because as I recall the 3e Medusa's petrifying gaze is permanent. She may also has poison attacks. If I recall right, a wizard with some Stone to Flesh spells prepared would be a life saver.
unfortunately we have no wizard in the party, BUT my character is half doppelganger and the DM allows me to use the shapeshifting pretty liberally so i was thinking maybe if i turned into a mirror and had our barbarian hold me in front of the medusa... i have quite a few summon monsters spells and summon undead spells as well
Well, mirrors are a traditional way of defeating gorgons. (And basilisks, now that I think about it.) If the DM allows it, you may as well attempt it. Though I'd suggest turning into a full length floor mirror. That way, the barbarian is free to whack the lich. And you could always shapeshift back if you need to move.
Also, if the DM is the type to allow it, try getting some very well polished shields. Anybody proficient in their use should have one. Just ask Link! Mirror shields rock!

Which is precisely why I prefaced my advice with "If the DM allows it"... I've known a few people who, if they DMed, would certainly allow crazy things like that. Whether it's right or not is up for debate, of course, but the plan needs to be tailored to the situation.
But I'll reiterate: Mirrored shields and Stone to Flesh potions!
Are there any blindfighting-type feats in 3.5? Then get those, blindfold yourself and go to town on her!
I know of a feat called 'Blind Fight', I believe, that's in the 3.5e Player's Guide, but I can't recall what it does off the top of my head. There may be other related feats, but I don't know of any.
Our psionic took care of the mindflayer while i first cast Prayer then Obscuring Mist, i summoned a dire badger and the medusa didn't even want to come play with me in the dark. so i set my badger to work on the Grimlock. got attacked by a displacer beast but i made a hell of a reflex save+strrength check and threw the displacer beast off to the side like a boss. cast hold person on the grimlock and used my 1/day death touch on him and he yeah he was no more. the mindflayer and medusa managed to escape using a magical item they were all wearing. but that mindflayer im sure is ****ed. our psionic had used Personality and then parasite incarnate on him the DM was stunned(you shoulda seen his face). end of combat, looting time and i got so much sweet **** i was stoked. so all in all i should not have been so worried since medusa turned out to be a lil puss im sure we will see her again and next time it's her turn to die. that mindflayer though i definitely want to break a piece off of as well i just dont like the guy.
also yes there is blindfight and i am taking that feat next level. i already have still spell and plan to get silent spell later on. then nothing will stop me from raining chaos upon the masses.

And I'm glad everything worked out. Though, if it was so easy, I'm curious what level everyone was. Medusa is level 7 if I remember right.
next week im supposed to be facing a Medusa and i was wondering whats the most effective way to dispatch them? what are their weaknesses? keep in mind this medusa is being backed up by a Mindflayer
